1. About Alula
Alula is a family care platform that includes an informational website with editorial content and a family care coordination platform. Within the coordination platform, users create and participate in shared care spaces ("CareSpaces"). The Service enables families to collaborate on the care of loved ones and access educational content about caregiving.
2. Eligibility
You must be at least 13 years of age to use the Service. By creating an account, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service.
We reserve the right to terminate accounts where we have reason to believe the user does not meet these requirements.
3. Account Registration and Security
3.1 Account Creation
You may create an account using an email address and password or through Google OAuth. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@withalula.com if you suspect unauthorized access to your account.
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 One Account Per Person
Each account is for a single individual. You may not share your account credentials with others or create multiple accounts for the same person.
4. CareSpaces
4.1 Creating a CareSpace
When you create a CareSpace, you become the Owner. As Owner, you may invite members, remove members, manage the subscription, transfer ownership, and delete the CareSpace.
4.2 Roles
Users within a CareSpace may have the following roles:
- Owner: The CareSpace creator with full administrative capabilities. An Owner may also serve as a Caregiver or Captain within the same CareSpace.
- Team Member (Caregiver): An invited member who can create and edit content, manage tasks and events, and contribute to care coordination.
- Captain (Care Receiver): The person receiving care, whose profile and health information may be managed by other CareSpace members.
- Contact: A non-platform reference contact who may be designated as an emergency contact.
A single user may hold different roles across different CareSpaces, and an Owner may hold multiple roles within the same CareSpace.
4.3 Shared Information
Most content contributed to a CareSpace — including posts, comments, tasks, events, health data, and emergency plans — is visible to all members of that CareSpace. Some content, such as documents, is shared at the individual level and is only visible to the specific members you choose to share it with. You should only invite individuals you trust and share information you are comfortable being seen by the intended recipients.
4.4 Leaving or Being Removed
All content contributed to a CareSpace belongs to the CareSpace Owner. If you leave or are removed from a CareSpace, content you contributed will remain in the CareSpace and under the Owner's control. You will no longer have access to the CareSpace or its contents after departure.
5. Subscriptions and Payment
5.1 Plans and Pricing
Alula offers subscription plans for CareSpace access. Current plans and pricing are available on our website. Prices are subject to change with notice.
5.2 Billing
Subscriptions are billed in advance on a recurring basis through Stripe. By subscribing, you authorize us to charge your payment method for all applicable fees.
5.3 Free Trial
New users may be eligible for a free trial (one trial per user). Trial terms and duration are described at the time of signup.
5.4 Cancellation
You may cancel your subscription at any time through your account settings or the Stripe billing portal. Upon cancellation, you will retain access through the end of your current billing period, followed by a limited grace period with read-only access. After the grace period, CareSpace data will be permanently deleted.
5.5 Refunds
All subscription fees are non-refundable. No refunds or credits will be issued for partial billing periods, unused time, or account cancellation.
5.6 Failed Payments
If a payment fails, your subscription may be suspended until the payment issue is resolved.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or share content that is unlawful, defamatory, obscene, threatening, or otherwise objectionable.
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malicious code, viruses, or other harmful software.
- Scrape, crawl, or use automated means to access the Service without our written permission.
- Impersonate another person or entity.
- Use the Service to send unsolicited communications.
We reserve the right to suspend or terminate your account for violation of these Terms.
7. Content
7.1 Your Content
By submitting content to a CareSpace, you grant the CareSpace Owner and Alula a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and transmit that content as necessary to operate and provide the Service, including making backups and delivering content to CareSpace members. Content contributed to a CareSpace belongs to the CareSpace Owner and remains in the CareSpace if you leave or are removed.
For content you create outside of a CareSpace (such as your account profile), you retain ownership and grant Alula a non-exclusive, worldwide, royalty-free license to use that content solely as necessary to operate and provide the Service. This license terminates when your content is deleted from the Service, except for copies retained in backups (which are deleted in the ordinary course of business).
7.2 Content Limits
The Service imposes reasonable limits on file sizes, text length, and list items. Current limits are described in our Help Center and may be updated from time to time.
7.3 Content Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. Alula does not review, verify, or endorse any content submitted by users, including health information.
8. Health and Safety Disclaimers
8.1 Not a Medical Service
Alula is not a healthcare provider, medical device, or health plan. The Service is a care coordination tool. Alula does not provide medical advice, diagnosis, or treatment.
8.2 Not a Substitute for Professional Care
The Service is not a substitute for professional medical advice, diagnosis, or treatment. Never disregard professional medical advice or delay seeking it because of information stored on Alula. Alula disclaims any liability for actions taken or not taken based on health information stored on the platform.
8.3 Not an Emergency Service
Alula is not a substitute for 911 or emergency services. If you are experiencing a medical emergency, call 911 immediately. Emergency plans and contact information stored on the Service are for informational reference only.
8.4 Accuracy of Health Data
All health and medical information is entered by users and is not verified by Alula or any medical professional. Alula makes no representations or warranties regarding its accuracy, completeness, or reliability.
8.5 Shared Health Information
Health information entered into a CareSpace is visible to all members of that CareSpace, including any current and future invited members. The Manifest feature allows care team members to share health information — including protected health information (PHI) — with individuals outside the CareSpace in emergency situations. By contributing health information to a CareSpace, you acknowledge and consent to its potential external sharing via the Manifest.
8.6 No Screening of CareSpace Members
Alula does not perform safety screenings, identity verification, or screening of any kind on CareSpace members invited by families. You are solely responsible for determining the trustworthiness of individuals you invite to your CareSpace.
9. Assumption of Risk
You acknowledge and agree that the use of the Service, including coordinating care through CareSpaces, involves inherent risks. These risks include, but are not limited to, the risk of physical harm, property damage, emotional distress, or other injury arising from interactions with other users or care receivers.
You voluntarily assume all risks associated with your use of the Service and any interactions that result from it, whether online or in person. Alula is not responsible for the conduct, actions, or omissions of any user, whether on or off the platform.
You agree that Alula shall not be liable for any injury, illness, death, property damage, or other loss arising from your use of the Service or your interactions with any person you connect with through the Service.
10. Intellectual Property
10.1 Alula's Intellectual Property
The Service, including its design, code, features, branding, logos, and documentation, is owned by Alula and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.
10.2 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Alula a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback without compensation or attribution.
11. Privacy
Your use of the Service is governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understood these policies.
12. Third-Party Services
The Service integrates with or links to third-party services, including Google (authentication and calendar), Stripe (payments), and YouTube (educational content). Your use of these services is governed by their respective terms and policies. Alula is not responsible for the practices or content of third-party services.
13. Disclaimers
13.1 "As Is" and "As Available"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2 No Guarantee of Availability
We do not guarantee that the Service will be available at all times or without interruption. We may suspend, modify, or discontinue the Service at any time with or without notice.
13.3 No Guarantee of Results
We do not guarantee the accuracy, reliability, or completeness of any content or other information on the Service.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALULA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
THIS LIMITATION APPLIES TO ALL CLAIMS ARISING FROM THE SERVICE, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO CARE COORDINATION, HEALTH INFORMATION, AND ANY INTERACTIONS BETWEEN USERS.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ALULA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
15. Indemnification
You agree to indemnify, defend, and hold harmless Alula and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, (d) your violation of any third-party rights, or (e) any care provided or received in connection with the Service.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.
16.2 Arbitration
Any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Charlottesville, Virginia.
16.3 Opt-Out of Arbitration
You may opt out of binding arbitration by sending written notice to legal@withalula.com within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Charlottesville, Virginia.
16.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.5 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
17. Termination
17.1 By You
You may close your account and stop using the Service at any time through Settings > Account.
17.2 By Alula
We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or for any other reason with reasonable notice (except where immediate suspension is necessary to prevent harm).
17.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Assumption of Risk, Indemnification, and Dispute Resolution) will remain in effect.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service with a revised "Last Updated" date and, where appropriate, by email. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and close your account.
19. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Alula regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any right or provision does not constitute a waiver.
- Assignment. You may not assign your rights or obligations without our prior written consent. We may assign our rights and obligations without restriction.
- Notices. We may provide notices via email or through the Service.
